1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between You ("User" or "Customer") and ZBT Innovations Private Limited ("Company" or "ZeroBill").
By downloading, installing, or using the ZeroBill mobile application (the "App"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the App. You acknowledge that this Agreement is a contract between you and ZeroBill, even though it is electronic and not physically signed by you.
2. Eligibility
You represent and warrant that you are at least 18 years of age and are legally competent to enter into a binding contract under the Indian Contract Act, 1872. If you are a minor, you may only use the App under the supervision of a parent or legal guardian.
3. Accounts & Membership
If you create an account on the App, you are solely responsible for maintaining the security of your account and for all activities that occur under it. We may, but are not obligated to, monitor and review new accounts before you may sign in and start using the Services.
- Providing false or inaccurate contact information of any kind may result in the termination of your account.
- You must immediately notify us of any unauthorised use of your account or any other breach of security.
- ZeroBill will not be liable for any acts or omissions on your part, including any damages incurred as a result of such acts or omissions.
- We reserve the right to suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of these Terms, or that your conduct or content would tend to damage our reputation and goodwill.
4. Scope of Services
ZeroBill provides a platform that enables Users to:
- Obtain digital receipts for offline retail purchases.
- Make payments to merchants via the Unified Payments Interface (UPI).
- Avail offers, discounts, and cashbacks.
- Provide reviews and ratings for merchants (via Google Reviews integration).
5. Privacy-First Architecture
ZeroBill is built on a privacy-first principle. Your phone number and personal identity are never shared with the Merchant as a condition of receiving a digital receipt or rewards. Your digital receipt is linked to your UPI payment identity — the Merchant receives confirmation that a payment occurred, not your personal contact details, unless you explicitly choose to share more. This is a core and deliberate design of the ZeroBill platform, not a temporary feature, and you are entitled to rely on it.
This architecture means you can shop at any ZeroBill-enabled store, collect receipts, and earn rewards without your phone number being directly disclosed to the store owner or their staff.
Merchant Promotional Communications: While your phone number is never given to the Merchant, ZeroBill may, on a Merchant's behalf, send you promotional messages via WhatsApp or SMS — such as offers, cashback campaigns, or re-engagement notifications relevant to stores you have visited. These communications are sent by ZeroBill and your contact details remain within ZeroBill's systems at all times. You may opt out of such promotional messages at any time through the notification preferences in your App settings.
6. Usage & Data
The ZeroBill App stores and processes personal data that you have provided to us in order to deliver our Services. You are responsible for keeping your phone and your access to the App secure. We strongly recommend that you do not jailbreak or root your phone, as doing so removes software restrictions imposed by the official operating system and may compromise the security of the App and your data.
Third-Party Services: The App makes use of third-party services that have their own Terms and Conditions. Links to the Terms and Conditions of the third-party service providers used by the App are provided below:
Internet & Data Charges: Certain functions of the App require an active internet connection. ZeroBill cannot be held responsible for the App not functioning at full capacity if you do not have access to Wi-Fi or mobile data. If you are using the App outside of a Wi-Fi area, your agreement with your mobile network provider will still apply, and you may be charged for data usage during the connection — including roaming charges if you use the App outside your home territory without disabling data roaming. If you are not the bill payer for the device, we assume you have obtained permission from the bill payer before using the App.
Receipt Storage: The ZeroBill App receives digital receipts from the Merchant's computer or as provided by you. These receipts are stored both locally on your device and on ZeroBill's servers, so that you can access them at any time. Receipts contain your purchase and other relevant details, including Merchant name, shop location, purchase items, amount, and other related information.
7. User Obligations & Code of Conduct
7.1 Accurate Information
You agree to provide true, accurate, and current information — including your Name and Phone Number — during registration.
7.2 Usage Procedure
To use the App correctly at a merchant's store, you must:
- Complete the checkout process at the Merchant's store.
- Inform the Merchant that you are using ZeroBill.
- Scan the Merchant's UPI QR code using the ZeroBill App.
- Verify the amount displayed and proceed to pay.
Failure to follow this procedure (for example, scanning a QR code without informing the merchant, or scanning a non-merchant QR code) may result in a receipt delivery failure. ZeroBill shall not be liable for such failures.
7.3 Anti-Fraud Policy
ZeroBill maintains a zero-tolerance policy towards fraud. You expressly agree not to:
- Manipulate the App to generate fake or inaccurate receipts.
- Make payments of incorrect amounts (e.g., paying ₹1 for a ₹1,000 bill) in order to trigger rewards.
- Create or use multiple accounts on a single device to abuse cashback offers.
- Collude with merchants to generate fraudulent transaction volume.
Consequences of Fraud: In the event of suspected fraudulent activity, ZeroBill reserves the right to immediately suspend or terminate your account, forfeit all accumulated rewards and cashbacks, and initiate appropriate legal action under the Indian Penal Code and the Information Technology Act.
8. Prohibited Uses
In addition to all other terms set forth in this Agreement, you are expressly prohibited from using the App or its Services to:
- (a) Engage in any unlawful purpose, or solicit others to perform or participate in any unlawful acts.
- (b) Violate any international, federal, state, or local regulations, rules, or ordinances.
- (c) Infringe upon or violate the intellectual property rights of ZeroBill or any third party.
- (d) Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
- (e) Submit false or misleading information.
- (f) Upload or transmit viruses or any other type of malicious code that may affect the functionality or operation of the App, third-party services, or the internet.
- (g) Engage in spam, phishing, pharming, pretexting, spidering, crawling, or scraping.
- (h) Use the App for any obscene or immoral purpose.
- (i) Interfere with or circumvent the security features of the App, third-party products or services, or the internet.
We reserve the right to terminate your access to the App and Services for violating any of the above prohibited uses.
9. Digital Receipts
9.1 Proof of Purchase
The digital receipt generated within the ZeroBill App serves as a valid proof of purchase for warranty and return purposes, subject to the individual Merchant's acceptance policy.
9.2 User Responsibility to Verify
Upon receiving a digital receipt, you must immediately verify the details including items, quantity, and price.
- If there is an error: Whether caused by a technical issue or merchant entry error, you must immediately reject the receipt within the App and notify both the Merchant and ZeroBill Support.
- Deemed acceptance: If no issue is reported immediately following the transaction, the receipt will be deemed accepted. ZeroBill will not be responsible for discrepancies reported after the transaction has been closed.
10. Payments & UPI
ZeroBill is a technology service provider and is not a bank. All UPI transactions are processed through NPCI infrastructure and regulated third-party banking and payment partners. ZeroBill adds a technology and intelligence layer on top of this regulated payment infrastructure — it does not operate as a payment aggregator or bank in its own right.
- Transaction failures: ZeroBill is not liable for transaction failures, amounts debited but not credited, or banking server downtimes. Such disputes must be resolved directly with your bank or UPI app provider.
- Payment accuracy: You are solely responsible for ensuring the correct amount is entered and paid to the correct Merchant VPA (Virtual Payment Address). ZeroBill shall not be liable for refunds arising from payments made to incorrect merchants.
11. Cashbacks, Rewards & Offers
11.1 Merchant Offers
All offers, discounts, and coupons displayed in the App are provided by the respective retail merchants and brands.
- Limitation of liability: ZeroBill acts solely as a publisher of these offers. We are not responsible for the non-delivery, unavailability, or refusal of an offer by a Merchant. The Merchant's decision regarding their own offers is final.
11.2 ZeroBill Cashbacks
- Discretion: The issuance of cashbacks is at the sole discretion of ZeroBill.
- Expiry: All cashbacks and rewards carry a specific expiry date, which will be clearly indicated within the App. You must redeem them before expiry; expired cashbacks cannot be reinstated.
- No cash encashment: Unless explicitly stated otherwise, reward points cannot be converted to cash or transferred to bank accounts. They are redeemable only within the ZeroBill ecosystem or as in-store discounts.
- Platform Fee: ZeroBill reserves the right to levy a Platform Fee on cashbacks provided to consumers from merchants and brands. Where applicable, this fee is deducted at the time of generation and the balance amount is credited to the customer's account. Applicable Goods and Services Tax (GST) will be charged on this fee.
12. Dispute Resolution & Support
Any issues relating to receipts, rewards, or technical glitches must be brought to our attention as soon as possible.
- How to raise a dispute: Users must raise a support ticket through the "Help & Support" section within the ZeroBill App.
- Resolution timeline: We endeavour to resolve tickets within 48–72 hours, subject to the complexity of the issue and the availability of the Merchant for verification.
13. Intellectual Property
"Intellectual Property Rights" means all present and future rights conferred by statute, common law, or equity in relation to any copyright, related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights — whether registered or unregistered — including all applications and rights to apply for and be granted such rights, and all similar or equivalent rights or forms of protection that subsist or will subsist anywhere in the world.
This Agreement does not transfer to you any intellectual property owned by ZeroBill or any third party. All rights, titles, and interests in and to such property shall remain solely with ZeroBill. All trademarks, service marks, graphics, and logos used in connection with the App are trademarks or registered trademarks of ZeroBill or its licensors. Other trademarks and service marks used in connection with the App may be the property of their respective third-party owners.
You are granted a limited, non-exclusive, non-transferable licence to use the App solely for personal purposes. You may not:
- Copy or modify the App, any part of the App, or any of our trademarks in any way.
- Attempt to extract the source code of the App.
- Translate the App into other languages or create derivative versions of the App.
- Reverse-engineer or decompile any part of the App's logic or design.
Your use of the App grants you no right or licence to reproduce or otherwise use any ZeroBill or third-party trademarks.
14. Links to Other Resources
The App may contain links to third-party websites or resources. ZeroBill is not responsible for examining or evaluating the content, products, or services of any such third parties. We do not assume any responsibility or liability for the actions, products, services, or content of any other third parties. You are advised to carefully review the legal statements and terms of use of any third-party resource you access through a link in the App.
15. Disclaimer of Warranties
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZBT INNOVATIONS PRIVATE LIMITED MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY OF RECEIPTS, THE UPTIME OF THE SERVICE, OR THE AVAILABILITY OF OFFERS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZBT INNOVATIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR PAYMENTS MADE IN ERROR BY THE USER. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL AMOUNT OF CASHBACK ACTUALLY EARNED BY YOU IN THE PRECEDING CALENDAR MONTH.
17. Indemnification
You agree to indemnify and hold harmless ZBT Innovations Private Limited, its directors, employees, agents, suppliers, affiliates, and licensors against any liabilities, losses, damages, or costs — including reasonable legal fees — incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands as a result of your content, your use of the App, violation of these Terms, or any wilful misconduct on your part.
18. Severability
All rights and restrictions in this Agreement may be exercised and shall be applicable only to the extent that they do not violate any applicable laws, and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid, or unenforceable. If any provision or portion of any provision of this Agreement is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, it is the intention of the parties that all remaining provisions shall constitute their agreement with respect to the subject matter, and all such remaining provisions shall remain in full force and effect.
19. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the substantive and procedural laws of Karnataka, India, without regard to its rules on conflicts or choice of law, and — to the extent applicable — the laws of India. You agree that any legal action or proceeding arising out of or in connection with these Terms or the use of the App shall be brought exclusively before the courts located in Bengaluru, Karnataka, India.
20. Changes to Terms
We reserve the right to modify this Agreement or its terms relating to the App and Services at any time, effective upon posting of an updated version within the App. When we do, we will revise the updated date at the top of this document. Your continued use of the App following any such changes shall constitute your acceptance of the revised Terms.
21. Acceptance of These Terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the App, you confirm that you are bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorised to access or use the App.
